LU Cloud Subscription Agreement
This Agreement sets out the terms governing your use of the LU Cloud service (the "Service") provided by Linkup Infotech, Inc. (the "Company"). By signing up for an LU Cloud workspace (a SaaS offering built on Odoo Community Edition), you (the "Customer") are deemed to accept this Agreement.
1. Term of the Agreement
The Service term is the period specified at signup (the "Term"). It renews automatically for an equal Term unless either party gives written notice (including by email) of termination at least 30 days before the Term ends.
2. Definitions
- Workspace: a dedicated Odoo database and subdomain (e.g. acme.luai.kr) provisioned for the Customer.
- User: anyone holding an active account on the workspace with create/edit rights.
- Plan: the industry template selected at signup and the set of apps it includes.
3. Access to the Service
For the Term, the Company grants the Customer a non-exclusive, non-transferable right to use the workspace. The workspace is hosted on cloud infrastructure managed by the Company, and the Customer accesses it remotely with the account issued to them.
4. Scope of Services
4.1 Incident Response
For the Term, the Company responds promptly and reasonably to Service incidents reported by the Customer (complete outages, errors, security breaches, and other defects arising under normal configuration).
4.2 Security Updates
The Company applies security patches for vulnerabilities found in the hosting infrastructure without requiring any action from the Customer.
4.3 Cloud Hosting
For the Term, the Company provides at minimum: HTTPS-encrypted communication, regular automated backups, and disaster recovery procedures. Details follow the [Service Level Agreement — coming soon].
4.4 Support
For the Term, the Customer may submit questions about using the Service's standard features through [support channel — e.g. helpdesk email/form]. Customization requests may be subject to a separate agreement.
5. Charges and Payment
Standard charges are based on the plan and number of users selected at signup, and are communicated in writing (including by email) at that time. If the number of users increases or the Customer uses features of a higher plan during the Term, an additional fee for the difference may apply. All charges exclude VAT and other applicable taxes, which are the Customer's responsibility.
6. Conditions of Use
6.1 Customer Obligations
The Customer agrees to keep account credentials secure, not share passwords with third parties, and not use the Service for unlawful or fraudulent purposes.
6.2 Confidentiality
Each party will protect confidential information received from the other (business, customer, and technical information that should reasonably be treated as confidential) with at least the same care it uses to protect its own similar confidential information.
6.3 Handling of Personal Data
The handling of personal data stored in the workspace is governed by the Privacy Policy.
6.4 Termination
If either party breaches an obligation under this Agreement and fails to cure it within 30 days of written notice, the other party may terminate immediately. The Company may terminate if the Customer fails to pay within 21 days of the invoice due date and does not respond after at least 3 reminders.
7. Warranties and Limitation of Liability
The Company uses commercially reasonable efforts to provide the Service in line with relevant industry standards. To the maximum extent permitted by law, each party's total liability under this Agreement will not exceed [percentage — e.g. 50%] of the amount paid by the Customer in the 12 months preceding the claim. Neither party is liable for indirect, special, or consequential damages.
8. General Provisions
8.1 Governing Law and Jurisdiction
This Agreement is governed by the laws of the Republic of Korea, and disputes arising from it are subject to the exclusive jurisdiction of [court — e.g. the Seoul Central District Court].
8.2 Severability
If any provision of this Agreement is held invalid, unlawful, or unenforceable, the remaining provisions remain in full effect.
